At IHG Hotels & Resorts, our Company Secretariat team plays a central role in supporting our Board, committees, subsidiaries and senior leaders. We’re looking for a Senior Assistant Company Secretary to join us in our global HQ in Windsor, UK, on a fixed-term contract for up to six months, helping deliver a high-quality secretariat service across a global, UK and US listed business.

This is a hands-on role with real breadth. You’ll take ownership of key share scheme activity, support UK committee and subsidiary matters, advise on governance and regulatory requirements, and work closely with senior stakeholders across IHG.

Keep the governance engine of a FTSE 100 business running smoothly.

 

What you’ll do

  • Manage and administer IHG’s employee and executive share-based incentive schemes, including the Employee Share Ownership Trust.

  • Support senior and former executives with share dealings and provide guidance on insider dealing rules, PDMR interests and Market Abuse Regulation requirements.

  • Prepare regular reports for the PLC Board and its committees, including routine minutes and follow-up actions.

  • Act as secretary to UK subsidiary companies and routine committee meetings, covering meeting arrangements, minutes, statutory accounts and related actions.

  • Advise on UK and US listing rules, company law, stock exchange rules and wider company secretarial matters.

  • Contribute to major corporate events and transactions, which may include dividends, share consolidations, capital returns, reorganisations, disposals and acquisitions.

  • Develop and maintain company secretariat policies, procedures and good practice across the function.

  • Work with internal teams including Finance, Treasury, Tax, HR, Corporate Affairs, Investor Relations and Legal, as well as external advisers and service providers.

 

What you’ll bring

  • Qualified Chartered Secretary status, or equivalent qualification. 

  • At least five years’ post-qualification company secretarial experience, ideally in a UK FTSE environment.

  • Strong current knowledge of share schemes, share registration processes, UK company law and relevant listing rules.

  • Confidence working independently, prioritising well and delivering to deadlines.

  • Clear written and verbal communication, with strong attention to detail.

  • Good judgement, commercial awareness and the ability to manage sensitive matters carefully.

  • A practical, flexible style, with the ability to build good working relationships across different teams and seniority levels.

 

This is a fixed-term contract opportunity, therefore it would be beneficial to have worked or have experience of working in the company secretarial team of a UK listed PLC.
